Terms of Service

These Terms of Service ("Terms") are a binding agreement between you and BOXOUT AFRICA LTD ("BoxOut", "BoxOutAfrica", "we", "us", or "our"), a company registered in the Federal Republic of Nigeria, governing your use of our website, applications, and related services (collectively, the "Platform").

By creating an account, submitting an application, making a contribution, or otherwise using the Platform, you confirm that you have read, understood, and agree to these Terms. If you do not agree, do not use the Platform.

We may update these Terms from time to time. Material changes will be posted on this page with a revised "Last updated" date. Continued use after changes take effect constitutes acceptance of the updated Terms.

You must be at least 18 years old to use the Platform. By using BoxOutAfrica, you represent that:

• You have the legal capacity to enter into a binding contract.
• Any information you provide is accurate, current, and complete.
• You will keep your account credentials confidential and notify us of unauthorised access.
• You are not barred from using the Platform under applicable law.

If you use the Platform on behalf of an organisation, you confirm that you have authority to bind that organisation to these Terms.

Certain features — including creating a talent profile, expressing funding interest, using our AI tools, and submitting accelerator or programme applications — require an account. You may register with email and password or, where available, sign in through a third-party provider such as Google.

You are responsible for all activity that occurs under your account. We may suspend or terminate accounts that:

• Violate these Terms or our community standards.
• Contain false, misleading, or fraudulent information.
• Are used to harass, spam, or harm other users or the Platform.
• Pose a security, legal, or reputational risk to BoxOutAfrica or its community.

BoxOutAfrica is a cross-sector talent network. Depending on your role and eligibility, the Platform may include:

• Talent discovery — browsing vetted and curated profiles across sport, music, fashion, tech, and creative industries.
• Funding tools — allowing supporters ("Funders") to contribute to talent profiles subject to our review and approval processes.
• Accelerator and programmes — application flows for structured mentorship, funding, and network access.
• AI-powered tools — including business idea validation and talent archetype assessment. Outputs are informational only and do not constitute professional, financial, or legal advice.
• Editorial and community — spotlight content, enquiries, and community channels where offered.

We reserve the right to modify, suspend, or discontinue any part of the Platform at any time. Features may be offered on a waitlist, invitation, or approval basis.

Creators may submit profiles for review. Approval is not guaranteed. We evaluate submissions based on completeness, authenticity, and alignment with our standards — including identity, portfolio evidence, market traction, and regulatory readiness where relevant.

By submitting a profile or application, you represent that:

• You own or have the right to use all content, media, and data you upload.
• Your submissions do not infringe any third-party rights or misrepresent your achievements.
• You consent to our review, curation, and — if approved — publication of your profile on the Platform.

We may remove, edit, or decline profiles that fail verification, contain prohibited content, or no longer meet our standards.

Where funding features are enabled, contributions are processed through third-party payment providers (currently Stripe). BOXOUT AFRICA LTD is not a bank, investment firm, or regulated financial institution. Contributions are not securities, equity, or loans unless explicitly stated otherwise in a separate written agreement.

By making or receiving a contribution through the Platform, you acknowledge that:

• All contributions are subject to our approval, verification, and anti-fraud checks.
• Platform and payment processing fees apply as disclosed in our Transparency notice.
• Refunds, chargebacks, and payout timing are handled according to payment provider rules and our policies.
• Tax obligations related to contributions or receipts are your responsibility.

We do not guarantee that any profile will reach a funding target or that any contribution will produce a particular outcome for talent or funders.

BoxOutAfrica may charge a platform processing fee on successful funding transactions, in addition to standard payment gateway fees charged by our payment processor. BOXOUT AFRICA LTD collects applicable fees as described in our Platform Transparency notice, accessible from the site footer.

We may change fees with reasonable notice. Fee changes will not apply retroactively to completed transactions unless required by law or payment provider policy.

You agree not to:

• Use the Platform for unlawful, deceptive, or harmful purposes.
• Impersonate any person or misrepresent your affiliation with BoxOutAfrica or any talent.
• Scrape, crawl, or harvest data from the Platform without our written permission.
• Attempt to bypass security, access controls, or rate limits.
• Upload malware, spam, or content that is defamatory, hateful, or sexually exploitative.
• Use AI tools to generate abusive, fraudulent, or rights-infringing material.
• Contact talent or funders outside approved Platform channels for harassment or unsolicited commercial outreach.

We may investigate violations and take action including content removal, account suspension, and referral to authorities.

You retain ownership of content you submit. By posting content on the Platform, you grant BOXOUT AFRICA LTD a worldwide, non-exclusive, royalty-free licence to host, display, reproduce, adapt, and distribute that content solely to operate, promote, and improve the Platform — including in marketing materials featuring approved talent.

This licence ends when you delete the content or close your account, except where we must retain copies for legal, security, or backup purposes.

The BoxOutAfrica name, logo, brand assets, website design, software, and original editorial content are owned by BOXOUT AFRICA LTD or our licensors. You may not copy, modify, or exploit them without prior written consent.

Feedback you provide may be used by us without obligation or compensation to you.

Our validation and assessment tools use artificial intelligence to generate structured analysis based on information you provide. AI outputs may be incomplete, inaccurate, or outdated. They are provided for educational and exploratory purposes only.

You should not rely on AI-generated reports as a substitute for professional legal, financial, tax, medical, or career advice. You are solely responsible for decisions you make based on Platform content, including AI outputs.

The Platform integrates with third-party services including payment processors, email providers, cloud infrastructure, analytics, and authentication providers. Your use of those services may be subject to their separate terms and privacy policies.

Links to external websites or community channels (including messaging platforms) are provided for convenience. We are not responsible for third-party content, availability, or practices.

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Platform will be uninterrupted, error-free, or free of harmful components. We do not guarantee outcomes from funding, accelerator participation, profile approval, or introductions made through the Platform.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BOXOUT AFRICA LTD AND ITS DIRECTORS, EMPLOYEES, PARTNERS, AND AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, GOODWILL, OR OPPORTUNITY, ARISING FROM YOUR USE OF THE PLATFORM.

OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE PLATFORM WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO BOXOUT AFRICA LTD IN THE TWELVE MONTHS BEFORE THE CLAIM, OR (B) ONE HUNDRED THOUSAND NAIRA (₦100,000).

Nothing in these Terms limits liability that cannot be limited under applicable law, including liability for fraud or death or personal injury caused by negligence.

You agree to indemnify and hold harmless BOXOUT AFRICA LTD from claims, damages, losses, and expenses (including reasonable legal fees) arising from your use of the Platform, your content, your violation of these Terms, or your infringement of any third-party rights.

You may stop using the Platform at any time. We may suspend or terminate your access immediately if you breach these Terms, if required by law, or if we discontinue the Platform.

Sections that by their nature should survive termination — including intellectual property, disclaimers, limitation of liability, indemnification, and governing law — will continue to apply.

These Terms are governed by the laws of the Federal Republic of Nigeria, without regard to conflict-of-law principles. The courts of the Federal Republic of Nigeria have exclusive jurisdiction over disputes arising from these Terms, except where mandatory consumer protection laws in your country of residence give you the right to bring proceedings in your local courts.
